Terms of Service

These terms are an agreement between you (the business or person using the service, "Client") and Xtromate Technology (registered name XTROMATE), a proprietorship in Jodhpur, Rajasthan, India ("Xtromate", "we"). By creating an account or connecting any account to Xtromate CRM you accept these terms and our Privacy Policy. If you sign up for a business, you confirm you can bind it.
1. The service
Xtromate CRM is a software platform that provides a WhatsApp CRM and inbox, an AI lead qualifier, and Meta ads, social media and outreach automation. Each Client connects their own WhatsApp Business Account, Facebook Page, Instagram account, Google Business Profile and ad account (for example through Meta Embedded Signup or Facebook Login for Business). The Client owns those accounts and the relationship with Meta and Google. Xtromate does not own them and does not resell Meta or WhatsApp services.
2. Roles and data
- Client is the data controller (data fiduciary) of the personal data of its customers, leads and contacts. Xtromate is a data processor and handles that data only to provide the service and on the Client's instructions, as described in the Privacy Policy.
- Client keeps ownership of its data. Client gives us the limited right to host, process and transmit it, including through AI model providers and other sub-processors, to run the service.
- We do not sell data.
3. Client responsibilities: consent and platform rules
- You must have a lawful basis and valid opt-in from every person you message, record or import, and must honour opt-outs and deletion requests promptly.
- You must comply with the WhatsApp Business Terms, WhatsApp Business Messaging Policy, Meta Platform Terms, Meta Developer Policies, Meta Advertising Standards, and Google's applicable policies. Using templates, opt-in proof and quality rules is your responsibility.
- You must tell people when they are talking to an AI where law or platform rules require it, and follow advertising rules such as the ASCI Code and applicable Indian law.
- You are responsible for your content, your messages, your ad creatives and your use of AI replies. Please review AI settings and escalate to a human where needed.
4. Acceptable use
You must not use the service to:
- send spam, unsolicited bulk messages, or messages to purchased or scraped lists;
- operate in industries prohibited by Meta or WhatsApp (for example illegal goods, gambling where not permitted, adult content, weapons, and other restricted categories in their policies);
- deceive, harass, impersonate or defraud anyone, or send unlawful, hateful or misleading content;
- use the AI as a general-purpose chatbot or resell it as one, or use it to provide services outside your own business purpose;
- attack, probe, overload or reverse-engineer the platform, or bypass usage limits or security;
- share your login with people outside your organisation, or resell access without our written agreement.
5. Plans, fees and billing
- Flat fee: Plans are charged a flat recurring fee as shown on your order or pricing page. Fees are in INR and exclude GST, which is added at the applicable rate.
- Third-party costs: You pay Meta ad spend and WhatsApp conversation or message fees directly to Meta through your own accounts. We do not collect or mark up these costs.
- Setup fee: Any one-time setup fee is non-refundable once setup work begins.
- Add-ons: Add-ons have a minimum term of 3 months. After that they continue until cancelled.
- Fair-use caps: Plans include usage caps (for example AI replies, messages or contacts). Usage beyond a cap is billed as overage at the rates shown for your plan.
- Payment: Payments are processed by Razorpay or another gateway we name. Invoices are due as stated on them. We may suspend service for unpaid invoices after notice.
- We may change prices with at least 30 days' notice, effective from your next billing period.
- Except where law requires otherwise or we state it in writing, fees already paid are not refunded.
6. Usage caps and human-only mode
When an AI or usage cap is reached, and no overage is enabled or paid, the AI features pause and the account moves to human-only mode: your team can still read and reply manually, but automated AI replies and AI-driven actions stop until the next cycle or until you add capacity.
7. Third-party platforms
The service depends on Meta (WhatsApp, Facebook, Instagram, Ads), Google, AI model providers and others. They may change their rules, APIs, pricing or access, review or restrict your accounts, or suffer outages, and we do not control that. We are not responsible for such restrictions, account bans, message quality ratings, ad disapprovals or lost access caused by them, though we will try to help you respond.
8. Availability
We work with reasonable effort to keep the service running and fix problems, but we do not guarantee uninterrupted or error-free operation or any uptime percentage. Planned maintenance may occur. AI outputs may be inaccurate and are provided as suggestions or automation you choose to enable.
9. Suspension and termination
- You may cancel at any time from your account or by email, effective at the end of the current billing period (subject to any minimum term).
- We may suspend or terminate access, with notice where practical, if you breach these terms, put our platform or other Clients at risk, risk Meta or Google action against our app, fail to pay, or if law requires it. We may suspend immediately for serious abuse.
- On termination, tokens are deleted and Client data is deleted as set out in the Data Deletion Instructions.
10. Data export on exit
Before or within 30 days after termination you may request an export of your contacts, leads and conversation history in a common format (such as CSV or JSON). After that period the data is deleted.
11. Intellectual property
We own the platform, software and branding. You own your data and content. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. You grant us permission to use your content only as needed to provide the service.
12. Disclaimers and limitation of liability
- The service is provided "as is" and "as available". To the extent permitted by law, we disclaim implied warranties.
- To the extent permitted by law, we are not liable for indirect, incidental, special or consequential losses, or loss of profit, revenue, data or goodwill.
- Our total liability for any claim relating to the service is limited to the fees you paid us in the 3 months before the event giving rise to the claim.
- Nothing here limits liability that cannot be limited under applicable law.
- You agree to indemnify us against third-party claims arising from your content, your messaging without valid consent, or your breach of these terms or of platform policies.
13. Governing law and disputes
These terms are governed by the laws of India. We will first try to resolve disputes in good faith by email. Courts at Jodhpur, Rajasthan have exclusive jurisdiction.
14. Changes and contact
